Terms of Use: Worldline Onboarding Portal
Welcome to the online onboarding portal named Worldline Onboarding Portal (the “Portal”) provided by Global Collect Services B.V., trading as Worldline Digital Commerce, a private company with limited liability, duly incorporated and organized under the laws of the Netherlands, having its registered office/principal place of business at Neptunusstraat 41-63, 2132 JA Hoofddorp, the Netherlands, registered with the trade register of the Dutch chamber of commerce under number: 34140462 (“Worldline”).
1. Acceptance of Terms
1.1 These terms of use (the "Terms") apply to User’s access and use of the Portal. By registering for, accessing, and using the Portal, the User accepts to be bound by these Terms, including our privacy policy and any additional terms and conditions that may apply.
1.2 If a User does not agree to these Terms, they must immediately cease their access and use of the Portal. For the purpose of these Terms, “User” means a merchant of Worldline and/or any individual authorized by the merchant to access and use the Portal.
2. Use of the Portal
2.1 The Portal is designed to serve as the comprehensive platform for the collection and management of essential "Know Your Customer" (KYC) information required for User onboarding. It functions to accumulate the necessary documentation and data for configuring User accounts, as well as to establish a reliable channel for communication between Worldline and its Users. The Portal’s objectives include ensuring compliance with relevant regulations, facilitating a streamlined onboarding process, and maintaining an effective means of ongoing engagement with Users for service-related matters.
2.2. The information provided through the Portal is for informational purposes only. Users should not construe any information provided through the Portal as legal, tax, investment, financial, or other specialist advice.
2.2 When using the Portal Uses shall not:
a. Use or transmit any malicious software that may damage, make unavailable, erase, or appropriate automated work or data;
b. Modify, copy, reproduce, or interfere with the functionalities of the Portal;
c. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software used in the Portal;
d. provide, lease or lend the Portal to any third party;
e. breach any applicable law, regulations or these Terms; or
f. attempt to gain unauthorized access to the Portal;
2.3 The use of the Portal is for User's own account and risk. Users are responsible for maintaining the confidentiality of their account information, preventing unauthorized access to their accounts and for all activities that occur under their accounts. User agrees to notify Worldline immediately of any unauthorized use of User’s account or any other breach of security.
2.4 Worldline shall deactivate and delete any data held on the User account after two years of inactivity. User further agrees that Worldline shall not be liable to User nor to any third party for any termination of User access to the Portal or deletion of User data.
3. Intellectual Property
3.1 All content and materials on the Portal are the property of Worldline and are protected by intellectual property laws.
3.2 Worldline grants Users a restricted, personal, non-exclusive, non-transferable right to access and use the Portal solely for its intended purpose. Any other (non-) commercial use of the the Portal environment is expressly excluded.
4. Termination
4.1 Worldline may, at its sole discretion, terminate User’s access to the Portal for any reason. Immediate termination may occur in case of breach of these Terms.
5. Liability and Indemnity
5.1 Worldline, its parent companies, subsidiaries, affiliates, directors, employees and its suppliers (“Connected Persons”) will in no event be liable towards for loss of profits or any special, incidental or consequential damages arising from User’s access and use of the Portal.
5.2 Users agrees to indemnify Worldline and its Connected Persons against all third-party claims resulting from or related to the use of the Portal.
6. Data Privacy & Retention
6.1 Worldline values your privacy and are committed to protecting your personal information. By using Insights, you agree to the collection, use, and disclosure of your personal data as described in our Privacy Policy.
6.2 Worldline, as data controller, has certain obligations to ensure the security and confidentiality of your personal information. Worldline will implement appropriate technical and organizational measures to protect your data against unauthorized access, loss, or alteration. Worldline will also ensure that its employees and any third parties who process your data on behalf of Worldline are bound by confidentiality obligations.
6.3 Worldline will retain your personal information for as long as necessary to fulfill the purposes outlined in our Privacy Policy, unless a longer retention period is required or permitted by law. The specific retention periods may vary depending on the type of data and the purposes for which it is processed. Once the retention period expires, we will securely delete or anonymize your personal information.
6.4 Worldline will not sell or share your personal information with third parties without your consent, except as required by law or as necessary to provide the services you have requested. In some cases, Worldline may engage trusted third-party service providers to assist us in delivering our services, and they will only process your personal information in accordance with our instructions and for the purposes specified by us.
6.5 Your personal information may be transferred to and processed in countries outside of your jurisdiction. Worldline will ensure that any such transfers comply with applicable data protection laws and that appropriate safeguards are in place to protect your personal information.
6.6 You have the right to access, rectify, and erase your personal information, as well as the right to restrict or object to certain processing activities. You may also have the right to data portability and the right to lodge a complaint with a supervisory authority. 7. Disclaimer
7.1 The Portal is provided "as is" and "as available." Worldline does not warrant the accuracy, availability, or security of the Portal and disclaims all warranties, express or implied. Worldline does not warrant that the Portal and/or any content or tools will be error-free, that access will be uninterrupted, that defects will be corrected, or free of any viruses or any other harmful components. The User hereby waives any claim against Worldline and its Connected Persons with respect thereto.
8. Miscellaneous
8.1 These Terms are exclusively governed by and construed in accordance with the laws of The Netherlands. Disputes arising from these Terms shall be submitted exclusively to the competent court in Amsterdam, The Netherlands.
8.2 Worldline reserves the right to amend these Terms at any time. Changes will be effective immediately upon posting to the Portal, and continued use constitutes acceptance of the revised Terms.
